Steve is a shareholder in the firm of Briggs and Morgan, Professional Association. He serves as head of the firm's Financial Institutions and Real Estate Section, and practices principally in the areas of:

Steve has represented banks and other institutional lenders in complex commercial finance transactions (including traditional and asset-based loan transactions) franchise finance transactions, and construction and permanent real estate loan transactions. His experience includes the negotiation, documentation and closing of a variety of specialized credit transactions, including syndicated and participated loans, acquisition and mezzanine financings, and floor plan and leasehold finance arrangements. Steve has also represented financial institutions in the issuance of letters of credit to back the issuance of tax-exempt bonds.
He has advised state and federally chartered financial institutions on a variety of regulatory issues, including the interpretation of and compliance with regulations promulgated by the Federal Reserve Board, the Office of the Comptroller of the Currency, the Federal Deposit Insurance Corporation and various state regulatory agencies. In addition, Steve has represented several bank holding companies in connection with change in control and nonbanking activity notifications under Regulation Y of the Federal Reserve Board.
Steve has also represented various financial institutions and corporate lenders in connection with creditors' rights and remedies issues, including garnishment proceedings, real estate foreclosures, and enforcement and foreclosure of Article 9 security interests. He has lectured on the perfection of security interests in financial assets under Revised Article 8 of the Uniform Commercial Code and prepared comprehensive training materials on lender liability issues.
Although primarily lender's counsel, Steve often represents corporate borrowers in the negotiation and documentation of commercial and real estate loans and other financing matters.
Steve is a member of the Hennepin County, Minnesota State and American Bar associations. He has been named a "Super Lawyer" by Minnesota Law & Politics.
Born in Wauwatosa, Wisconsin, Steve received his B.B.A. from the University of Wisconsin at Madison. He received his law degree cum laude from the University of Minnesota Law School, where he was associate articles editor and business administrator of the Minnesota Law Review. He joined Briggs in 1994.
