Briggs Announces New Shareholders

MINNEAPOLIS, MINN. – Briggs and Morgan announces the election of three new shareholders: Dimitrios Lalos, Marcus Laman and Marcus Ploeger. All were associates with the firm.

Dimitrios (Dimi) Lalos is a member of the Business Law section and practices principally in the areas of: federal tax law, individual, partnership and corporate tax planning, mergers and acquisitions, new markets tax credits, tax-exempt organizations, executive compensation, and general commercial and corporate law. Dimi provides tax planning advice to LLCs, partnerships, corporations and individuals in connection with the formation of new companies, mergers and acquisitions, and general business operations. Dimi also advises public charities and private foundations, including health care entities, schools, religious and civic organizations. In addition to advising management of these organizations with respect to matters pertaining to general operation and maintenance of tax-exempt status, Dimi assists clients in forming and restructuring tax-exempt organizations.

Marcus Laman is a member of the Business Law section and practices primarily in the areas of: mergers and acquisitions, professional sports teams, private equity transactions, information technology and software licensing, and general commercial and corporate law. Marcus advises publicly and privately held clients in a variety of industries, including professional services, software development and licensing, health care, real estate management, and equipment and product manufacturing. Marcus' recent experience includes assisting with the representation of: business owners in the sale of a private software company, a private equity client in connection with the acquisition of an integrated robotic automation and specialized material handling solutions company, a buyer in connection with the purchase of a manufacturer and bottler of nutritional and dietary supplements and beverages, and a professional sports team in connection with the development, construction and use of a new sports facility.

Marcus Ploeger is a member of the firm's Finance & Restructuring section. He practices primarily in the areas of: mezzanine finance, construction and project financing, commercial lending, asset-based lending, unsecured lending, banking and finance, and private equity financing. Marcus negotiates and documents a variety of finance transactions on behalf of mezzanine debt investors, banks and other financial institutions. He concentrates a significant amount of his practice on the representation of mezzanine and junior capital funds in subordinated debt and equity investment transactions. He represents banks and other financial institutions in connection with senior and subordinate credit facilities and asset-based loans. He also represents borrowers in connection with working capital and other secured and unsecured financing arrangements. Marcus has also worked for a large financial institution, where he managed investments on behalf of trusts, foundations and individuals.
