Counsel to a beverage manufacturer and distributor in its sale to various underwriters (i) $250 million principal amount of 5.00% Notes due 2017; (ii) $250 million principal amount of 5.50% Notes due 2035; (iii) $300 million principal amount of 4.875% Notes due 2010, (iv) $250 million principal amount of 4.875% Notes due 2011, (v) $300 million principal amount of 5.75% Notes due 2012 pursuant to an automatic shelf registration statement, its adoption of a majority voting policy, its 10b5-1 repurchase plans, and its public disclosures, SEC filings and other regulatory matters, including the merger of the Company with and into a subsidiary.
