Acted as counsel for one of the largest lenders in the Mortgage Warehousing business. In this type of lender, the lender provides funds for the closing of mortgage loans (usually by wire to the title company/closer). Most often this is done as a purchase of the mortgage loans by the Warehousing Lender/Financier. The mortgage loans are sold into securities or as whole loans to investors, at which time the mortgage loans are repurchased from the Mortgage Warehousing Lender/Financier (or if a lender, the loans are repaid).
This representation has involved drafting all forms, for both syndicated and single-bank transactions. There are currently more than sixty active, ongoing transactions (separate bank customers) in progress in this business.
